These Terms of Service ("Terms") govern your access to and use of Expreso (the "Service"), operated by Capix, Inc., a Delaware corporation ("Capix," "we," "us," or "our"). The entity or individual accessing the Service is referred to as "Customer," "you," or "your."
By accessing or using Expreso, you agree to be bound by these Terms, our Privacy Policy (available at https://expreso.ai/privacy), and any applicable Order Form executed between you and Capix. Together, these documents constitute the entire agreement between you and Capix (the "Agreement"). If you do not agree to these Terms, do not use the Service.
We may update these Terms from time to time. Changes take effect on the "Last Updated" date shown above. Your continued use of the Service after any update constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using the Service.
1. Eligibility
You must be at least 16 years old to use Expreso. However, if the law in your jurisdiction requires you to be older for us to lawfully provide the Service without parental consent (including the processing of your personal data), then the minimum age is such older age. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Expreso is an AI-powered platform that acts on your email, builds professional profiles, and facilitates connections between users. The Service includes the following capabilities:
2.1 Email Access and Actions
With your explicit authorization, Expreso may:
- Read and analyze your emails to provide, personalize, and improve the Service, including drafting responses, building your profile, and organizing your inbox
- Send emails on your behalf
- Organize, label, and archive emails in your inbox
- Draft email responses for your review and approval before sending
You may revoke Expreso's access to your email account at any time through your account settings or by disconnecting the integration. Revocation will take effect promptly, though previously extracted data may be retained in accordance with Section 4.
2.2 Profile Building
Expreso uses information from your email and other inputs you provide to build and maintain a professional profile for you. You retain full control over your profile and may edit, update, or delete it at any time.
2.3 User Connections
Expreso facilitates professional connections between users. All connections require mutual opt-in consent-both users must affirmatively agree before a connection is established. No profile information is shared with another user for connection purposes without your explicit approval.
3. Artificial Intelligence Disclaimer
3.1 Nature of the Service
Expreso uses artificial intelligence and machine learning technologies. You acknowledge that you are interacting with an AI system, and that AI systems are probabilistic in nature and may produce errors, inaccuracies, or unexpected results.
3.2 Your Responsibilities
You are responsible for:
- Independently reviewing all AI-generated output, including drafted emails, profile content, and suggested connections
- Exercising your own judgment before relying on or sending any AI-generated content
- Monitoring and approving any actions the Service takes on your behalf, particularly email sending
- Any decisions, actions, or omissions you make based on AI-generated output
3.3 Limitations
AI-generated outputs may contain errors, reflect biases present in training data, misinterpret context or tone, or produce content that is incomplete or inaccurate. Expreso does not guarantee the accuracy, completeness, or appropriateness of any AI-generated content.
3.4 No Warranties on AI Output
Capix makes no warranties or guarantees regarding the functionality or quality of AI-generated output. Capix is not liable for any losses resulting from your use of or reliance on AI output. You should independently evaluate all AI-generated content before use.
4. User Data and Privacy
4.1 Your Data
You may provide prompts, email access, and other data to facilitate the Service (collectively, "User Data"). You retain ownership of your User Data and any outputs generated from it. You are responsible for ensuring you have all necessary rights, authorizations, and consents to provide User Data to us.
4.2 Third-Party Email Data
When Expreso accesses your email, it will process emails from individuals who are not Expreso users. Expreso may process the content and metadata of these emails as necessary to provide the Service to you, including drafting replies, providing context, and organizing your inbox. Expreso does not build profiles on non-users and does not share non-user data with other Expreso users.
4.3 Profile Data Control
You may edit, correct, delete, or export your profile data at any time through your account settings. Upon account deletion, Capix will delete your profile and associated personal data in accordance with our Privacy Policy and applicable law. Data that has already been shared with connected users (e.g., your name and profile information visible during an active connection) may be retained by those users in accordance with their own records.
4.4 License to User Data
You grant Capix a non-exclusive, worldwide, royalty-free license to use, copy, process, store, and display your User Data solely as necessary to provide, operate, and improve the Service, and to monitor compliance with these Terms. You also grant Capix a perpetual, irrevocable license to use your User Data in an aggregated and anonymized form to improve the Service. If we process personal data contained in your User Data, such processing is subject to our Privacy Policy.
4.5 Accuracy Disclaimer
Capix does not warrant the accuracy, completeness, or reliability of any User Data, profiles, or outputs generated by the Service. You bear all risks associated with the data you provide and the profiles generated from it.
5. Account and Access
5.1 Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You must promptly update any changes to your information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately if you detect unauthorized access or any security breach.
5.2 Access Rights
Subject to these Terms, Capix grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. We reserve the right to modify, suspend, or terminate any part of the Service at any time.
5.3 Usage Restrictions
The Service may impose usage limits on certain features, such as the number of emails processed, connections initiated, or API calls. You agree to comply with these limits and must not attempt to bypass them.
6. Subscriptions and Payment
6.1 Plans
Expreso offers a free tier with limited functionality and paid subscription plans with additional features. Details of available plans and pricing are provided on our website and may be updated from time to time.
6.2 Billing
If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize Capix to charge your designated payment method for all fees due.
6.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. Capix does not provide refunds for partial billing periods unless required by applicable law.
6.4 Changes to Pricing
We may change subscription pricing at any time. Any price changes will take effect at the start of your next billing period following notice to you. If you do not agree to the new pricing, you may cancel before the next billing period.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Gain unauthorized access to the Service, other user accounts, or related systems or networks
- Use the Service to send spam, phishing emails, or unsolicited bulk communications
- Impersonate another person or misrepresent your affiliation with any person or entity
- Use automated tools, bots, or scrapers to access or extract data from the Service without our written permission
- Upload or transmit viruses, malware, or any code designed to disrupt or damage the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Remove or alter any copyright, trademark, or proprietary notices within the Service
- Use the Service to harass, abuse, stalk, or threaten other users
- Use the Service to create misleading or fraudulent profiles or connections
- Circumvent any usage limits, access restrictions, or security measures
- Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users' use
- Use the Service in connection with any activity that is discriminatory, fraudulent, deceptive, offensive, violent, pornographic, or otherwise harmful
If you violate these Terms, we may suspend or terminate your access to the Service. If we block your access, you agree not to circumvent such blocking by any means.
8. Intellectual Property
8.1 Our Intellectual Property
Capix retains all rights, title, and interest in and to the Service, including all software, algorithms, models, designs, interfaces, trademarks, and related intellectual property. The Service is provided on a limited-access basis, and no ownership of Capix's intellectual property is transferred to you.
8.2 Your Content
You retain ownership of the content you provide to the Service, subject to the licenses granted in Section 4.4.
8.3 Third-Party Intellectual Property
The Service may incorporate third-party software or components, including open-source software, which may be subject to separate license terms. You agree to comply with any such third-party terms. Capix is not responsible for third-party intellectual property.
8.4 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant Capix an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback for any purpose, without obligation to you.
9. Term and Termination
9.1 Term
These Terms remain in effect for as long as you use the Service.
9.2 Termination by You
You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at support@expreso.ai. Upon termination, your right to use the Service ceases immediately.
9.3 Termination by Capix
We may suspend or terminate your account at any time, with or without cause, and with or without prior notice. Reasons for termination include, but are not limited to, violation of these Terms, fraudulent or abusive conduct, or extended inactivity.
9.4 Effect of Termination
Upon termination, your access to the Service will be revoked, and we will handle your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Sections 3, 4.4, 7, 8, 10, 11, 12, and 13) will remain in effect.
10. Disclaimers
10.1 "As Is" Service
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. CAPIX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
10.2 Email Actions
While Expreso is designed to act on your email with care, Capix does not guarantee that email actions (sending, organizing, archiving) will always execute correctly or that AI-drafted emails will be appropriate for their intended purpose. You are solely responsible for reviewing and approving any emails before they are sent. You accept full responsibility for all emails sent through the Service on your behalf, including any consequences arising from their content, timing, or recipients.
10.3 Connections and Profiles
Capix does not verify the identity, credentials, or intentions of users on the platform. We do not guarantee the accuracy of user profiles or the quality of any connections facilitated through the Service. You interact with other users at your own risk.
10.4 Third-Party Links
The Service may contain links to third-party websites or services. Capix does not endorse or assume responsibility for any third-party content, products, or services.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAPIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, business, or anticipated savings
- Any loss or damage arising from unauthorized access to or alteration of your data or emails
- The cost of procuring substitute services
TO THE FULLEST EXTENT PERMITTED BY LAW, CAPIX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO CAPIX IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (II) FIFTY U.S. DOLLARS ($50.00).
These limitations apply regardless of the theory of liability (whether contract, tort, negligence, strict liability, or otherwise), even if Capix has been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Capix, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your User Data or any content you provide through the Service
- Your infringement of any third-party rights
- Emails sent by the Service on your behalf
- Any connection or interaction with another user facilitated through the Service
13. Dispute Resolution and Governing Law
13.1 Governing Law
These Terms and your use of the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.
13.2 Informal Resolution
Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting Capix at support@expreso.ai. The parties will attempt in good faith to resolve any dispute within thirty (30) days of receipt of written notice.
13.3 Arbitration
If a dispute cannot be resolved informally, you and Capix agree to resolve the dispute through binding arbitration administered in accordance with the rules of the American Arbitration Association. Arbitration will take place in the State of Delaware. Each party shall bear its own costs. You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action.
13.4 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
13.5 U.S. Compliance
You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist-supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
14. General Provisions
14.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
14.2 Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any breach shall constitute a waiver of any subsequent breach.
14.3 Entire Agreement
These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Capix regarding the Service and supersede all prior agreements, understandings, and communications.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Capix's prior written consent. Capix may assign these Terms without restriction.
